End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you and Optimiz for the use of the Optimiz mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, Optimiz grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for personal, non-commercial purposes
• Receive updates and support as provided by Optimiz

2. License Restrictions

You may not:

• Copy, modify, or distribute the App except as expressly permitted
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels on the App
• Use the App for any commercial purpose without authorization
• Transfer, sublicense, rent, lease, or lend the App to third parties
• Use the App in any way that violates applicable laws or regulations

3. Ownership and Intellectual Property

The App and all rights, including intellectual property rights, are and shall remain the exclusive property of Optimiz. This Agreement does not grant you any ownership rights to the App. All trademarks, service marks, logos, and trade names are proprietary to Optimiz.

4. Description of Service

Optimiz is a sleep improvement application designed to analyze sleep patterns and play adaptive audio designed to enhance sleep quality. The App uses device sensors and provides sleep tracking features for general wellness purposes only.

5. Subscriptions and Payments

Some features require a paid subscription:

• Subscriptions are charged through your app store account (Apple App Store or Google Play Store)
• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• Manage or cancel subscriptions through your app store account settings
• No refunds for partial subscription periods
• We reserve the right to change subscription pricing with advance notice

6. Free Trial

We may offer a free trial period for premium features. If you do not cancel before the trial ends, you will be automatically charged for the subscription. Free trials are limited to one per user and may not be combined with other offers.

7. Medical Disclaimer

IMPORTANT: Optimiz is NOT a medical device and is not intended for medical use.

• The App is for general wellness and informational purposes only
• Sleep data and insights are estimates and may not be medically accurate
• Do not use the App to diagnose, treat, cure, or prevent any disease
• Consult a healthcare professional for any sleep disorders or medical concerns
• Do not rely on the App for medical decisions

8. Privacy and Data Collection

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described in the Privacy Policy. Please review our Privacy Policy for details.

9. User Conduct

You agree to use the App responsibly and not to:

• Use the App while driving or operating machinery
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the App's functionality
• Upload malicious code or viruses
• Use the App for any unlawful purpose

10. Updates and Modifications

We may update the App periodically to add features, fix bugs, or improve performance. Updates may be automatic or require your action. We reserve the right to modify or discontinue any features at any time without liability to you.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE PAST 12 MONTHS.

13. Indemnification

You agree to indemnify and hold harmless Optimiz and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the App or violation of this Agreement.

14. Termination

This Agreement is effective until terminated. We may terminate your license immediately if you breach any terms of this Agreement. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections that by their nature should survive termination will remain in effect.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with [Arbitration Rules], except where prohibited by law.

16. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Optimiz regarding the use of the App and supersedes all prior agreements and understandings.

18. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes through the App or by email. Your continued use of the App after changes constitutes acceptance of the revised Agreement.
